1. The Service

a) Jobadz.com is a specialist online recruitment facilitator which provides a service (Service) to it's Clients (Client) for online applicant (Applicant) processing. The Client agrees that Jobadz.com may change the Services offered through their site, including the design and content used by the Client. Jobadz.com will try to give the Client as much notice of changes to specifications as is reasonably practicable.

b) The Client will keep all Applicant information confidential and will also include a privacy statement in accordance with the Privacy Act 1993 with every job vacancy it posts to Jobadz.com and generally ensure it complies with the Privacy Act 1993 at all times when dealing with User's personal information.

c) It is the Client's responsibility to comply with the Human Rights Act 1993. The Client will indemnify Jobadz.com for any breaches of the Act connected to the Client's use of the Service.

d) It is the Client's responsibility for ensuring the security, confidentiality and proper use of any Client login and passwords selected by the Client and to ensure that only authorised employees have access to its Login.

e) The Client will ensure all information posted on Jobadz.com is correct and complies with all relevant legal requirements.

f) The Client agrees that should Jobadz.com consider any content placed on the notice board is in breech of any legal requirement or that it is of poor standard Jobadz.com may remove any such advertisement until satisfied of suitability.

g) Jobadz.com may interrupt the Service from time to time, to undertake maintenance or enhancement to the Jobadz.com site or if required by law or for any other reason Jobadz.com believes is necessary.

2. Payment

a) The Client agrees to pay, for the Service at the rates set by Jobadz.com and viewable online at their site. Jobadz.com may change its rates, without notice, unless they are contractually fixed.

b) All amounts payable shall be in New Zealand dollars and plus GST.

c) Payment is due strictly within 7 days from issue of invoice unless prior arrangement has been made and approved by Jobadz.com.

d) Jobadz.com may withdraw Service if payment is not received as outlined in Clause 2c without notice.

e) The Client may be charged interest on overdue payments together with debt collection costs on any amount due and not paid as outlined in Clause 2c. Interest will be calculated at Jobadz.com's overdraft rate plus 6% and will be payable on the amount outstanding from the due date until full payment. All payments must be made in full without deduction, set off or counterclaim.

3. Warranties and Liabilities

a) The Client agrees that in the respect of the exchange of data and information between Client and Applicant, Jobadz.com's sole responsibility is as facilitator of that information. The Client is responsible for all content and communications and indemnifies Jobadz.com against all claims relating to the content or communications.

b) All warranties and guarantees are limited to those covered in this agreement.

c) Jobadz.com will not be liable for:
(i) the failure of the Service due to the incompatibility with any equipment or software used by the Client or
(ii) the loss of any data or information suffered by the Client while accessing or using Jobadz.com site or
(iii) for any Service default where the fault is caused by an event beyond Jobadz.com's control.

d) The total liability of Jobadz.com for any breaches of this agreement or its ability to provide Service will be limited to the amounts paid for the relevant Service not provided.

e) The Client will indemnify Jobadz.com against all liabilities, losses, expenses, damages, or fines suffered or incurred by Jobadz.com arising out of or in connection with the Client use of Jobadz.com Service or breach of this agreement.

4. Amendments

Jobadz.com may change or replace these terms on notice to the Client. Giving notice include placing the amended terms on the Jobadz.com site.
